Version 2026-10-17, in force from 17 October 2026.
The short version
This section is a plain summary. The numbered terms below are the agreement.
- You get a licence to use BeatAtlas. You do not buy the software itself.
- One licence key works on up to the number of computers shown on your order confirmation (2 computers for keys sold under this version).
- BeatAtlas works offline. It needs the internet once to activate, and then checks in with our server at least once in every period shown on your order confirmation (30 days for keys sold under this version). It never sends your audio, your song names or your projects.
- Without a key, you can try BeatAtlas as a free demo.
- Do not share your key or give copies of BeatAtlas to others.
- Parts of BeatAtlas made by others keep their own licences. This agreement takes nothing away from them. In particular, you may replace the libsoxr library (soxr.dll) with your own build.
- Your legal rights as a consumer are not affected.
- English law applies.
1. Who we are and what this agreement covers
1.1 BeatAtlas is made by ArcSeven Ltd, a company registered in England and Wales, company number 17277571, registered office 307 Cotton Exchange, Old Hall Street, Liverpool, L3 9LQ, England ("ArcSeven", "we", "us"). You can contact us at Contact@arcsevenlabs.co.uk.
1.2 This agreement is between you and ArcSeven. It covers the BeatAtlas software: the standalone app, the VST3 plugin, the analysis helper (ba-worker), the detection model, the installer, any updates we supply, and the documentation (together, "the Software").
1.3 You accept this agreement by clicking "I accept" in the installer, or by installing or using the Software. If you do not accept it, do not install or use the Software. If you have already paid and do not accept it, contact us and our refund policy applies.
1.4 Buying a licence is covered by our Terms of Sale at beatatlas.co.uk/terms. How we handle personal data is described in our Privacy Policy at beatatlas.co.uk/privacy. If the Terms of Sale and this agreement disagree about the purchase, the Terms of Sale apply. If they disagree about using the Software, this agreement applies.
1.5 In this agreement, "consumer" means an individual acting wholly or mainly outside their trade, business, craft or profession. "Business customer" means anyone else, including a sole trader who buys BeatAtlas for their work.
1.6 "Your Licence Terms" means the number of computers, the check-in period, the grace period and the number of moves a year that applied to your licence when you bought it. They are shown before you pay, and your order confirmation e-mail repeats them.
2. A licence, not a sale
2.1 We grant you a non-exclusive licence to install and use the Software on the terms of this agreement. You may use it for personal or professional work, including paid work and live shows.
2.2 You cannot transfer the licence, except as clause 9 allows.
2.3 ArcSeven and its licensors own the Software and all intellectual property rights in it. You receive only the rights this agreement gives you, and the rights that third-party licences give you (clause 8).
2.4 Your work is yours. We claim no rights in your audio, your projects, your beat maps, your markers or the files you export ("your outputs"). You may use your outputs however you like, and they stay usable after your licence ends.
3. Licence keys and computers
3.1 A paid licence comes with a licence key. You may activate the key on up to the number of computers in Your Licence Terms. For keys sold under this version, that is 2 computers, unless your order confirmation says otherwise.
3.2 The standalone app and the VST3 plugin on the same computer count as one computer. You may use the plugin in any number of projects and host programs on an activated computer.
3.3 You may use the Software on an activated computer yourself. If you are a business customer, your staff may use it on your activated computers.
3.4 To move your licence to another computer, free the old computer from within the Software, or from your account page at beatatlas.co.uk/account (which works even if the old computer is lost or broken). You can move your key yourself up to the number of times a year in Your Licence Terms (5 a year for keys sold under this version). After that, or if a computer is lost, broken or no longer yours, contact us and we will free the activation. We will agree to any reasonable request.
3.5 We will never reduce the number of computers in Your Licence Terms. If we offer more computers to new buyers later, we may extend that to you too.
3.6 Keep your key private. Tell us straight away if you think someone else is using it, and we will issue you a new one.
4. Activation and the periodic online check
4.1 Activating the key on a computer needs an internet connection once, or a licence file made on another device with an internet connection.
4.2 After activation, the Software works offline. It checks in with our licence server at least once in every check-in period in Your Licence Terms. For keys sold under this version, the period is 30 days, unless your order confirmation says otherwise. A computer activated or checked in with a file may go longer between check-ins: 90 days at present, and never less than the check-in period in Your Licence Terms. The check happens on its own whenever the computer is online. You can also start it yourself, or check in with a file.
4.3 The Software shows how many days are left before it needs to check in, and warns you in good time. If it has not checked in by the end of the period, it keeps working for a grace period (14 days for keys sold under this version) and reminds you each time it starts.
4.4 If the Software has not checked in by the end of the check-in period and the grace period, analysing new songs and exporting pause until it checks in. You can still open, play, edit and save your maps, and live timing outputs keep working. Nothing that has already started is stopped: an analysis, an export or a show that is running always finishes. The Software will never delete, change or lock away your projects, your audio or files you have already exported.
4.5 When activating, the Software sends only: your licence key; scrambled (hashed) codes made from five details of the computer's hardware and Windows installation, never the details themselves; whether it is a virtual machine; a random identifier and public key for this installation; a name for the computer that you can edit (for example "PC 1, added 16 Oct"); the version of the Software; and the Windows build number. When checking in, it sends the same without the key. Your internet connection also reveals your IP address to our server. If update checks are switched on, the Software also asks our server about once a day whether a newer version exists, sending only its version number. The Software never sends your audio, song names, file names, projects or beat maps. The Privacy Policy explains what we keep and for how long.
4.6 If your key is revoked under this agreement (for example after a refund, a reversed payment or termination under clause 12), the Software stops accepting it at its next check-in.
4.7 We will never make the check-in period in Your Licence Terms shorter.
4.8 If we ever stop running the licence service, we will first release, free of charge, an update or a file that lets every paid licence go on working without checking in.
4.9 The licence check does not inspect, verify or refuse a replaced soxr.dll (see clause 8.4).
5. The demo
5.1 Without a key, you may use the Software as a free demo for the demo period. The demo period is shown in the Software when you start the demo. For demos started under this version, it is 7 days. During the demo you may use every feature of the Software, every export included, as described at beatatlas.co.uk.
5.2 Each computer may have one demo. Starting the demo needs our server once, over the internet or with a file made on another device. The Software then sends the same scrambled codes as for an activation (clause 4.5, without a key), so that each computer gets one demo. Please do not try to reset or restart the demo.
5.3 We may change the length of the demo, or stop offering it, for demos that have not yet started. A demo that has already started keeps at least the length shown when it started, unless it is being misused (for example by trying to reset it), in which case we may end it.
5.4 When the demo period ends, analysing new songs and exporting stop until you enter a key. You can still open, play, edit and save your maps. Your projects and exported files stay on your computer, and a key unlocks the Software without reinstalling it.
5.5 The demo is free. To the extent the law allows, it is provided as it is, without promises about quality or fitness for a purpose. Clause 11.6 still applies to the demo, and we remain responsible for damage to your computer or other digital content caused by our failure to use reasonable care and skill.
6. What you may not do
6.1 Except as clauses 7 and 8 allow, you may not:
- copy the Software, except to install it on your activated computers and to keep a back-up copy;
- share, sell, rent, lend, sublicense, publish or distribute the Software or your key, or make the Software available to others over a network;
- remove, disable or get round the licence check or the demo limits, crack the Software, or create or use keys we did not issue;
- modify, decompile, disassemble or reverse engineer the Software;
- remove or change any copyright, trade mark or licence notice in the Software.
6.2 You are responsible for having any rights you need in the audio you use with the Software, and for what you do with your outputs.
6.3 You must not use or export the Software in breach of United Kingdom sanctions or export controls.
7. Rights the law gives you
7.1 Nothing in this agreement stops you from doing anything the law allows you to do with software regardless of a licence. In particular, under the Copyright, Designs and Patents Act 1988 you may:
- make a back-up copy that you need for using the Software (section 50A);
- decompile the Software where the conditions in section 50B are met, to achieve interoperability with another program;
- observe, study and test how the Software works (section 50BA).
7.2 Any term of this agreement is void to the extent it would restrict those rights (section 296A of the same Act).
8. Third-party components
8.1 The Software includes components made by others. Each is licensed to you by its owner under its own licence, not by us under this agreement. They are listed, with the full text of their licences and notices, in THIRD-PARTY-NOTICES.txt, which is installed with the Software, and in the Software's About box.
8.2 Nothing in this agreement limits any right that one of those licences gives you over its component. Where this agreement and a third-party licence disagree about that component, the third-party licence applies.
8.3 The Software uses libsoxr, a resampling library. Copyright 2007-18 robs@users.sourceforge.net. libsoxr is licensed under the GNU Lesser General Public License, version 2.1 or later (the LGPL). It is in the file soxr.dll in the worker folder of the Software (and inside the VST3 plugin's bundle).
8.4 For libsoxr, and as the LGPL requires, you may:
- modify libsoxr for your own use and replace soxr.dll with your own build of libsoxr (a version compatible with libsoxr 0.1.x);
- reverse engineer the analysis helper ba-worker.exe, but only as far as needed to debug such a modification.
The licence check never inspects or refuses a replaced soxr.dll.
8.5 The source code of the version of libsoxr we ship is available to download from beatatlas.co.uk/download, beside each installer (for this version, the files soxr-1.1.0.tar.gz and soxr-SOURCE.txt). We also offer, for at least three years from the date you received the Software, to send you that source code on request to Contact@arcsevenlabs.co.uk, for no more than the cost of sending it.
8.6 We do not support modified versions of libsoxr. If a problem is caused by a library you replaced, putting back the original soxr.dll is the remedy. This does not affect your rights for the rest of the Software.
8.7 Other components include: JUCE (used by ArcSeven under the JUCE licence's Starter terms); ONNX Runtime (MIT licence; it contains Eigen, under the Mozilla Public License 2.0, whose source code is available from https://gitlab.com/libeigen/eigen); the Beat This! detection model by the Institute of Computational Perception, JKU Linz (MIT licence); the IBM Plex fonts (SIL Open Font License 1.1); and others listed in THIRD-PARTY-NOTICES.txt.
8.8 VST is a registered trade mark of Steinberg Media Technologies GmbH.
9. Transferring your licence
9.1 You may transfer your licence to another person once. To do so, deactivate it on all your computers, delete your copies of the Software, and e-mail us at Contact@arcsevenlabs.co.uk with the new owner's name and e-mail address. We will issue the licence to them under Your Licence Terms. The new owner must accept this agreement.
9.2 We may transfer our rights and duties under this agreement to another organisation that takes over the Software. We will tell you, and your rights will not be reduced.
10. Updates and support
10.1 Your licence includes every update of BeatAtlas version 1 (versions 1.x) at no extra charge. We may sell a later major version separately. You may go on using the version you have.
10.2 We do not force updates on you. If a change to the licence service ever needs an update for your licence to keep working, that update will be free.
10.3 An update may change or add features. It will not take away a feature from the version you already have.
10.4 The Software runs on Windows 10 or Windows 11, 64-bit. The plugin needs a VST3 host program. The full system requirements are at beatatlas.co.uk/download.
10.5 We provide support by e-mail at Contact@arcsevenlabs.co.uk and aim to reply within 2 working days.
11. Our responsibility to you
11.1 If you are a consumer, you have legal rights under the Consumer Rights Act 2015. The Software must be as described, of satisfactory quality and fit for any purpose you told us about. If it is not, you are entitled to a repair or replacement, and if that is not possible or fails, to a price reduction or a refund. If the Software damages your computer or other digital content because we did not use reasonable care and skill, we will repair the damage or pay you compensation. Nothing in this agreement affects these rights. Citizens Advice can tell you more (www.citizensadvice.org.uk).
11.2 The Software finds beats, bars, sections, tempo and other timing automatically. Automatic analysis can make mistakes. The Software is designed for you to check and correct its results before you rely on them. Exported files are timing data only: they are not a control or safety system. Check them before using them in a live show. This clause describes what the Software is. It does not reduce your rights under clause 11.1.
11.3 If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this agreement or of our failing to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen, or if we both knew it might happen when you bought the licence. We are not responsible for loss or damage that is not foreseeable.
11.4 If you are a business customer:
- we promise that, for 90 days from purchase, the Software will work substantially as described in its documentation. If it does not, we will fix it, replace it or refund the price you paid;
- apart from that promise and clause 11.6, all terms implied by law are excluded, to the extent the law allows;
- we are not liable for loss of profit, revenue, business, contracts or goodwill, for the cost of a cancelled or disrupted show, for loss of data that a reasonable back-up would have prevented, or for any indirect or consequential loss;
- our total liability to you under or in connection with this agreement is limited to the price you paid for the licence.
11.5 Please keep back-ups of your projects and audio.
11.6 Nothing in this agreement limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit or exclude.
12. Ending this agreement
12.1 You may end this agreement at any time by deactivating and uninstalling the Software. Whether you can get money back is set out in our refund policy at beatatlas.co.uk/refunds and in clause 11.
12.2 We may end this agreement, and revoke your key, if you seriously break it, for example by sharing your key publicly, distributing the Software, or cracking the licence check. If the breach can be put right, we will first tell you and give you 14 days to put it right. We will tell you by e-mail when we end the agreement.
12.3 Your licence also ends, and your key is revoked, if your payment is refunded, reversed or charged back.
12.4 A demo licence ends when the demo period ends, unless you enter a key.
12.5 When this agreement ends, you must stop using the Software and uninstall it. Clauses 2.3, 2.4, 7, 8, 11, 12.5 and 14 continue after it ends. Your outputs remain yours.
13. Changes to this agreement
13.1 The version and date of this agreement are at the top. If we change it, the new version applies only to updates you choose to install after we have shown it to you. You may keep using the version you have under the terms you accepted.
13.2 No new version will reduce Your Licence Terms, or take away what clauses 2.4, 4.4, 4.8, 7 and 8 give you.
14. General
14.1 For consumers, this agreement, the Terms of Sale and what we told you about the Software before you bought it make up our agreement. For business customers, this agreement and the Terms of Sale are the whole agreement, and you have not relied on anything not written in them.
14.2 If a court decides that part of this agreement is invalid, the rest stays in force.
14.3 If we do not enforce a right straight away, we can still enforce it later.
14.4 No one other than you and us has any right to enforce this agreement. This does not affect the rights the owners of third-party components give you under their own licences (clause 8).
14.5 This agreement is governed by the law of England and Wales. If you are a consumer, you may bring legal proceedings in the courts of England and Wales; if you live in Scotland, also in the Scottish courts; if you live in Northern Ireland, also in the Northern Irish courts. If you are a business customer, the courts of England and Wales have exclusive jurisdiction.
14.6 If you have a complaint, please e-mail us first at Contact@arcsevenlabs.co.uk. We will try to sort it out quickly.
